AllSync License Agreement (EULA)
This License Agreement is a legally binding agreement between you (as an individual or entity) and MTSD for the software product AllSync. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms, you are not authorized to install or use the Software. The Software product is protected by international copyright laws and intellectual property treaties.1. Subject of the Agreement
The subject of this Agreement is the computer program and the associated documentation, hereinafter collectively referred to as the 'Software'. MTSD points out that, according to the state of the art, it is not possible to create computer software that functions without errors in all applications and under all configurations. The subject of the Agreement is therefore software that is fundamentally functional in the sense of the product description and documentation.2. Grant of License
MTSD grants you, for the duration of this Agreement, the simple, non-exclusive right (hereinafter 'License') to install the Software and use it in accordance with the provisions of this Agreement. Any use beyond this is not permitted without prior written consent from MTSD.2.1. License Quantity
At least one license is required for every installation and every user of the Software. One license authorizes data transfer between two devices with different IP addresses (e.g., computers, servers, or NAS drives). For the integration of every additional device with its own IP address into a data transfer, the license quantity for the user must be increased accordingly (Example: Transfer between 3 devices = 2 licenses). Data transfers to local or external storage media without their own IP address (e.g., USB hard drives, RDX drives) do not require an increase in the license quantity. The license count refers to simultaneous provision within the Software usage and is reset upon every program restart.2.2. Installation and Use
2.2.1. License Use by an IndividualIf an individual acquires a license, they may install and use the Software on multiple computers. The prerequisite is that the Software is never started or used simultaneously on more than one computer.
2.2.2. License Use by Multiple Persons
If the Software is to be used by multiple persons (e.g., within a company or team) on different computers, the license quantity must correspond to the total number of simultaneously used IP connections according to section 2.1. Each person requires the corresponding number of licenses for their usage environment.
2.3. AllSync Home Edition
The Home Edition is licensed exclusively for use by private individuals on privately used computers for strictly private purposes. Use in companies, by self-employed individuals, freelancers, authorities, associations, or in other commercial, educational, or institutional contexts is not permitted. A license for the Professional Edition or Business Edition must be acquired for these areas of application.2.4. AllSync Demo Version
You have the right to test the demo version of the Software free of charge and without obligation for 21 days. This test period serves to verify the functionality and complete compatibility with your hardware and software environment before purchasing a license. After these 21 days expire, the test period ends automatically. Upon request, the test period may be extended by MTSD in individual cases. The installation of the corresponding full version files is required for using the full version after purchase; activation directly within the demo version is not technically provided.3. Description of Further Rights and Restrictions
The Licensee is prohibited from:(a) modifying, translating, reverse engineering, decompiling, or disassembling the Software without prior written consent from MTSD.
(b) creating derivative works from the Software, or reproducing, translating, modifying, or creating derivative works from written materials.
(c) making the Software, personal license data, and customer account access data available to third parties.
(d) removing or altering copyright notices, trademarks, or other proprietary markings of MTSD in or on the Software.
(e) distributing, renting, leasing, lending, or providing the Software as a service for third parties (e.g., hosting/SaaS) without a separate agreement.
The Licensee is obliged to use the Software only in compliance with all applicable laws.
4. Ownership of Rights
All property and copyright rights in the Software (including, but not limited to, images, texts, and algorithms) as well as in any copies are held exclusively by MTSD. By acquiring a license, you only receive the simple right to use the Software according to the provisions of this Agreement. This does not imply acquisition of rights to the Software itself or the source code. All rights not expressly granted are reserved by MTSD.5. Reproduction
The Software and the documentation are protected by copyright.5.1 Full Version
You are authorized to make copies of the full version, provided they are exclusively for backup and archiving purposes for your own use. Transferring the full version files or copies created therefrom to third parties is strictly prohibited.5.2. Demo Version
The distribution of the installation files of the demo version is expressly permitted, provided they are passed on unchanged and as an exact copy. No fees may be charged for distributing the demo version. Commercial marketing or bundling of the demo version with other products requires prior written authorization from MTSD.6. Term of Agreement
This Agreement runs for an indefinite period. However, the Licensee's right of use automatically expires without notice if any condition of this Agreement is violated. Upon termination of the right of use, the Licensee is obliged to cease use of the Software and permanently delete or destroy all copies and associated materials.7. Damages for Breach of Contract
MTSD points out that you are liable for all damages resulting from copyright infringements incurred by MTSD due to a violation of these contractual provisions.8. Changes and Updates
MTSD is entitled to create updates to the Software at its own discretion. Any supplementary software code provided to you as an update shall be considered part of the Software and subject to the terms of this License Agreement. Within a major version (e.g., Version 4.x), MTSD provides all updates free of charge in the download area. Upon the release of a new major version with extended functionality (e.g., switch from Version 4 to Version 5), there is no entitlement to a free update. In this case, MTSD generally offers existing licensees the option to acquire a discounted upgrade to the new major version.9. Warranty and Liability
9.1. MTSD provides no warranty that the Software is suitable for the Licensee's purposes and will cooperate with the Licensee's existing software or hardware. The selection, installation, and use of the Software, as well as the intended results thereof, lie solely within the Licensee's responsibility.9.2. Since the Licensee has the opportunity to extensively examine the Software for functionality and compatibility within their target environment prior to purchase during the 21-day test phase (demo version), the return of the license or a refund of the purchase price after receiving the full version access data is excluded.
9.3. MTSD's liability for damages arising from the use or inability to use the Software (including, but not limited to, damages for loss of profits, business interruption, loss of data or information) is excluded, unless MTSD caused the damage intentionally. In any case, liability is limited to the amount of the license fee paid.
